Kentucky Community and Technical College System (KCTCS) 
Board of Regents Meeting – September 15-16, 2022

Meeting Highlights:

  • Approved President Czarapata’ s 2021-22 Evaluation and 2022-23 Goals and Objectives.
    The Board accept the written report of Dr. Czarapata’ s annual evaluation as presented by Regent Finan and discussed by the KCTCS Board of Regents Executive Officers. In addition, the Board approved his Goals and Objectives for the 2022-23 year. 
  • Ratified Personnel Actions. 
    A report was received about personnel actions and ratified. 

  • Ratified Student Election Procedures. 
    The Board ratified new student election procedures that were utilized in the September student elections. The procedures expand student eligibility and the permissible timeframe for elections. 

  • Approved Audit Plan. 
    The Board approved the 2022-23 Internal Audit Plan approved by the KCTCS Board of Regents Audit Committee on September 6, 2022. The role of internal audit is to provide independent assurance that an organization's risk management, governance, and internal control processes are designed appropriately and are operating effectively.

  • Discussed the Board of Regents Reserves. 
    Administrative Policies Policy Number: 5.4.1 specifies that, “A budget reserve will be budgeted annually by the KCTCS Board of Regents.” During the June 2022, Board of Regents meeting, the KCTCS Board of Regents requested KCTCS staff review this procedure and report suggested recommendations of this procedure to the Board. Several options were put forth for the Board’s consideration and will be brought back at the December 2022 meeting for a vote.

  • Discussed the Development of a Code of Ethics. 
    Governing boards function best when the ethical standards for trustee behavior are clear. The Association of Community College Trustees (ACCT) recommends that all boards adopt a set of standards, often called a "code of ethics" or "standards for good practice." ACCT has developed a model code, which some Regents learned about at the ACCT Trustee Conference in August and subsequently requested to review. General Counsel is working on the development of a code for the Board, and it will be presented at the December 2022 meeting for a vote. 
    In conjunction with this discussion, all Regents renewed a Conflict-of-Interest disclosure and signed required forms from the Attorney General. 

  • Approved Interim Project Approval Scope Increases for Three Colleges. 

    In accordance with KRS 164A.575, interim authorization for a capital construction project with a scope greater than $1,000,000 be approved by the KCTCS Board of Regents and reported to the Capital Projects and Bond Oversight Committee. 

    The Board approved the scope increase of $5,000,000 for the Southeast Kentucky CTC Mechanical Equipment Upgrades capital project; the scope increases of $3,600,000 for the renovation of the Newtown Campus North Building at Bluegrass CTC; and a capital project with a total scope of $4,500,000 for the Gateway Community and Technical College (GCTC) Mechanical Equipment Upgrades capital project. 

  • Approved KCTCS Colleges’ candidates for credentials. 
    The Board approved 13,531 academic credential requests spanning between 
    April 9, 2022 – July 15, 2022 (associate degrees, diplomas, and certificates). These credentials include:

    • 10,210 candidates for certificates. 

    • 507 candidates for diplomas; and 

    • 2,814 candidates for associate degrees. 

for the KCTCS executive leadership team. KCTCS Board Procedure 2.11-P will provide sufficient flexibility for the KCTCS President to hire executive leadership and to establish appropriate compensation while also maintaining the KCTCS Board of Regents exclusive jurisdiction over salary and benefits. KCTCS Board Procedure 2.11-P sets a range of acceptable salaries for executive level employees and sets a requirement for prior approval from the KCTCS Board Chair when salary and compensation exceed the range. 

  • Approved KCTCS Colleges’ candidates for credentials. 
    The Board approved 6,384 academic credential requests spanning between October 2, 2021 – January 7, 2022 (associate degrees, diplomas, and certificates). These credentials include: 

    • 4,038 candidates for certificates. 

    • 318 candidates for diplomas; and 

    • 2,029 candidates for associate degrees.

  • President's Report

Dr. Czarapata presented information about flooding relief efforts at Southeast KY CTC and Hazard CTC; a new creative marketing campaign; the upcoming Council on Postsecondary Education Trusteeship Conference; and an event to be held in partnership with the KY Chamber of Commerce and Futurist Chris Rice.

The KCTCS Board of Regents will conduct its next regularly scheduled meeting at Versailles, Kentucky in the System Office.
